    1. Acceptance of Terms of Use

ExamIt.com, its partners, and affiliates provide this website, mock exams, practice questions, and related services to you, your employees, agents, contractors, and any other entity on whose behalf you accept these terms (collectively “You” or “User”), subject to these terms. These terms are entered into by and between ExamIt.com and You, and You accept them by: (a) using the website in any manner, and/or (b) acknowledging agreement with these terms. If you do not agree to all of these terms, do not use this website.

    1.2 Services and Scope

    This website may include, without limitation, practice exams, mock questions, educational content, and various tools for use by prospective customers, customers, marketing, and reselling affiliates (collectively the “Services”); information such as technical, product, program, pricing, or marketing data (“Information”); and text, software, graphics, or materials (“Content”).

    2. Independent Preparation & Vendor Relations

    2.1 Independent Development

    ExamIt.com is an independent provider of practice and mock certification exams. All study materials, questions, explanations, and practice modules available on ExamIt.com are developed independently using human manpower, industry experts, and artificial intelligence (AI) tools.

    2.2 Relationship to Official Testing Vendors

    ExamIt.com is not affiliated with, endorsed by, sponsored by, or partnered with any official exam vendors, certification bodies, or testing authorities. To the best of ExamIt.com’s knowledge, our practice questions are not copied from official exam providers. They are designed solely as a supplementary preparation tool to give candidates a better chance of passing their respective certifications.

    3. Copyright, Individual Licensing, and Liquidated Damages

    3.1 Individual License

    All Content and Services purchased or accessed on ExamIt.com are granted via a limited, non-exclusive, non-transferable, individually licensed basis.

    3.2 Strict Prohibition on Sharing and Copying

    You are strictly prohibited from sharing your account credentials, copying, distributing, mirroring, publishing, downloading, transmitting, or creating derivative works of ExamIt.com’s materials, in whole or in part, to any third party without the express written consent of ExamIt.com. All content is protected under United States and international copyright laws.

    3.3 Statutory and Liquidated Damages

    Any user or entity found violating this copyright policy, distributing our proprietary mock exams, or sharing individual licenses with unauthorized third parties shall be liable for liquidated damages of at least $100,000 USD per violation, plus all associated legal and attorneys’ fees incurred by ExamIt.com in pursuing enforcement.

    4. Disclaimer of Warranties & Passing Rates

    4.1 No Guarantee of Accuracy or Success

    While ExamIt.com does its level best to check all practice questions in detail for relevance, accuracy, and depth, ExamIt.com does not guarantee 100% accuracy of its materials.

    4.2 Passing Rates Disclaimer

    Your use of the website and mock exams is at your sole risk. ExamIt.com does not guarantee a passing rate. Certification exams change frequently, and ExamIt.com cannot ensure that the materials will mirror the exact live testing environment. ExamIt.com shall not be held liable if a User fails any official certification exam.

    4.3 “As Is” Provision

    The website, services, and content are provided on an “as is”, “as available”, and “with all faults” basis. ExamIt.com disclaims all express or implied conditions, representations, and warranties of any kind, including any implied warranty of merchantability, satisfactory quality, or fitness for a particular purpose.

    5. Strict Limitation of Liability

    5.1 Damage Caps

    To the full extent permitted by law, ExamIt.com, its officers, directors, employees, and suppliers shall not be liable for any direct, indirect, punitive, special, incidental, consequential, or exemplary damages (including, without limitation, loss of exam fees, loss of business, revenue, profits, data, or other economic advantage) arising out of or in connection with the use of the website or mock exams.

    5.2 Maximum Remedy Limit

    Important Note on Recovery: In the event that ExamIt.com is found liable for any error, omission, or breach under these terms, the maximum financial claim a User can ever file against ExamIt.com is strictly capped at the exact amount the User paid directly to ExamIt.com to purchase the specific service or exam package.

    6. Your Obligations and Conduct

    6.1 Account Security

    In consideration of Your use of the Website, You agree to: (a) provide accurate, current, and complete information as prompted by a registration form; (b) maintain the security of your password and identification; and (c) accept all risks of unauthorized access.

    6.2 Prohibited Content

    You are entirely responsible for all Content that You upload, post, or otherwise transmit via the Website. You agree not to upload, post, or transmit Content that:

    • Is inaccurate, harmful, obscene, defamatory, or offensive.

    • Violates or infringes anyone’s intellectual property rights.

    • Contains software viruses or malicious computer code.

    • Consists of unsolicited communications, spam, or bulk marketing.

    7. Confidentiality of ExamIt.com Information

    7.1 Confidential Information

    You may obtain direct access via the Website to certain confidential information of ExamIt.com and its suppliers, including technical, product, program, pricing, and marketing frameworks (“Confidential Information”). You must hold Confidential Information in strict confidence. Title to Confidential Information remains with ExamIt.com.

    7.2 Term of Obligation

    Your obligations regarding Confidential Information expire five (5) years after the date of disclosure. Upon termination of the Terms or ExamIt.com’s written request, you must cease use of Confidential Information and return or destroy it.

    8. Content Submitted to ExamIt.com

    8.1 Non-Confidential Basis

    ExamIt.com does not claim ownership of the Content You place on the Website. Unless otherwise stated herein or in the Privacy Policy, any Content You provide shall be deemed non-confidential. ExamIt.com shall be free to use or disseminate such Content on an unrestricted basis for any purpose, granting ExamIt.com an irrevocable, worldwide, royalty-free, nonexclusive license to use, reproduce, modify, distribute, and publish such material.

    9. Third-Party Links, Advertisements, and Promotions

    9.1 External Resources

    The Website may find links to other Internet sites or resources. ExamIt.com is not responsible for the availability of such external sites, and does not endorse and is not liable for any content, advertising, products, or other materials available on them.

    9.2 Taxes on Promotions

    ExamIt.com promotions can be terminated with or without notice based on marketing promotional quotas. Users and clients are solely responsible for filing their own income taxes for any gift certificates or promotional rewards earned.

    10. Governing Law and Jurisdiction

    10.1 United States Residents

    Any legal action, dispute, or claim related to these Terms, the Website, or the Services provided by ExamIt.com shall be governed by the laws of the State of Illinois, without regard to choice of law principles.

    10.2 Exclusive Venue

    You and ExamIt.com explicitly agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within DuPage County, Illinois, U.S.A.

    10.3 International Users

    For users accessing the platform from outside the United States, international copyright laws and controlling U.S. federal copyright protections shall apply to all intellectual property, data theft, or license-sharing violations.

    11. General Provisions

    11.1 Entire Agreement

    The Terms constitute the entire agreement between You and ExamIt.com relating to their subject matter and cancel or supersede any prior versions. No modification to the Terms will be binding unless in writing and signed by an authorized ExamIt.com representative.

    11.2 Non-Solicitation Covenant

    Unless otherwise mutually agreed to by the parties (ExamIt.com and the Client) in writing, the parties agree that they will not directly or indirectly hire or solicit the employment of any personnel of the other party involved in providing services during the duration of any training agreement, and for a period of five (5) years after the delivery of such services.

    11.3 Severability

    If any provision of these Terms is held invalid by any law, regulation, or court, the parties agree that such provision will be replaced with a new provision that accomplishes the original business purpose, while the remaining provisions shall continue in full force and effect.
